About these terms. ImpactEm currently operates as a marketing website. Account creation, profile publishing, subscriptions, the wallet, and AI Receptionist services are part of the connected ImpactEm application, which is being integrated separately and is not yet live on this site. These terms describe how the service is intended to work so they can be reviewed before launch.

Pending business decisions. Cancellation, refund, governing-law, arbitration, liability-cap, and dispute-resolution terms require formal approval. They appear below as clearly marked [PENDING APPROVAL] review fields rather than as finalized terms.

1. Acceptance of Terms

By accessing or using ImpactEm, including the marketing website and (when available) the connected application, you agree to these Terms of Service provided by Sudden Impact Agency. If you do not agree, do not use ImpactEm.

2. Eligibility & Account Responsibilities

You must be authorized to act on behalf of any business you represent and must provide accurate information. You are responsible for activity under your account and for keeping credentials secure. Accounts are part of the connected application and are not yet active on this marketing site.

3. Free Online Business Profile

The Free Online Business Profile is provided at no cost with no monthly hosting fee and no credit card required. You are responsible for providing accurate, lawful business information. Sudden Impact Agency may suspend or remove profiles that contain fraudulent, unlawful, or prohibited content. Profile publishing becomes available once the connected application is live.

4. Presentation Choices

Each free profile is built around a single presentation format: a Business Landing Page, a Digital Business Card, or a Link Hub. All three formats are not published simultaneously — you choose one. Each profile includes business details, branding, social links, a shareable URL, and a QR code.

5. Paid Subscription Products

Paid subscriptions, available once the connected application is live, include: Social Media Studio, Reputation & Reviews, Leads & Appointments, and Lead Generation & Reactivation — each $47/month; Business Growth — $147/month (includes all four nonvoice subscriptions); AI Receptionist Flex — $97/month; and AI Receptionist Plus — $197/month. Lead Generation & Reactivation does not include purchased leads, paid advertising management, advertising spend, or guaranteed leads.

6. Subscription Billing

Paid subscriptions operate on month-to-month billing cycles. Billing is handled through the connected application and its payment provider when subscriptions are operational; no billing is activated on this marketing website. AI Receptionist Flex requires a mandatory $10 starter credit purchase (1,000 credits) at signup, so the initial checkout is $107 before applicable taxes; subsequent renewals are $97/month plus applicable credit refills. AI Receptionist Plus is $197/month and includes 10,000 usage credits each monthly billing cycle.

7. Usage-Based Activities

Certain activities — such as AI receptionist call minutes, outbound SMS messaging, premium AI media, and supported messaging workflows — are metered and may consume wallet credits. Subscription access itself is covered by your monthly plan; only metered usage draws from your wallet.

8. ImpactEm Wallet & Credit Packs

The ImpactEm Wallet holds credits used for supported usage-based activities. Two credit packs are available: the Starter Credit Pack ($10 for 1,000 credits) and the Bonus Credit Pack ($50 for 5,500 credits, including 500 bonus credits — a 10% bonus compared with five $10 packs). No other credit packs are offered. Wallet and credit features are part of the connected application and are not yet operational here.

9. Mandatory Automatic Credit Refills

All paid ImpactEm subscriptions use automatic wallet refills. When your available balance falls below 500 credits, ImpactEm charges your authorized payment method $10 for 1,000 additional credits, which are added after successful payment confirmation. Automatic refills are mandatory for paid subscriptions and require explicit payment authorization during signup. Failed payments may interrupt metered services.

10. AI Receptionist Flex & Plus

AI Receptionist Flex ($97/month) includes AI call answering, personalized greetings, customer inquiry handling, lead capture, and supported call routing using standard supported AI voices, with usage metered through the ImpactEm Wallet and the mandatory $10 starter credit purchase described above. AI Receptionist Plus ($197/month) includes all Flex capabilities plus 10,000 usage credits each monthly billing cycle. We do not advertise unlimited calls or minutes.

11. Included Monthly Credits & Expiration

AI Receptionist Plus includes 10,000 usage credits each monthly billing cycle. Included monthly credits expire at the end of that billing cycle and do not roll over. There is no separate mandatory starter credit purchase for Plus. Additional usage beyond included credits may require wallet refills.

12. Customer Content & Permissions

You retain ownership of content you provide and grant ImpactEm the rights needed to display, publish, and process it to operate your profile and subscribed services. You represent that you have the rights to any content, images, contacts, and data you submit.

13. Acceptable Use

You may not use ImpactEm to engage in unlawful, fraudulent, abusive, or deceptive activity, to send unsolicited communications, to infringe others' rights, or to misuse AI features. We may suspend access for violations of these terms.

14. AI-Generated Content & Human Review

AI-assisted outputs (content, review responses, call summaries) are generated suggestions and may contain errors. You are responsible for reviewing AI-generated content before publishing or sending it. ImpactEm does not guarantee the accuracy or appropriateness of AI outputs.

15. Third-Party Integrations & Service Availability

ImpactEm integrates with third-party services (for example, social platforms, review providers, messaging, payment, and voice providers). Availability of specific features depends on those integrations and may change. We do not guarantee uninterrupted availability of any third-party service.

16. Customer Communication & Consent

When using communication features, you are responsible for obtaining any required consent from recipients (for example, for review requests, follow-up messages, and missed-call text-back where supported) and for complying with applicable messaging and calling rules.

17. Privacy

Our handling of information is described in our Privacy Policy, which is incorporated here by reference.

18. Intellectual Property

ImpactEm, its branding, and its software are owned by Sudden Impact Agency and protected by applicable intellectual property laws. These terms grant you no rights to our trademarks or proprietary technology beyond the limited access described here.

19. Service Interruptions

We may modify, suspend, or discontinue features for maintenance, security, or operational reasons. We do not warrant that the service will be uninterrupted or error-free. Metered services may be interrupted if refill payments fail.

20. Cancellation & Refunds

[PENDING APPROVAL] The cancellation and refund policy — including whether customers may cancel at any time, any notice requirements, and whether any fees or credit packs are refundable — has not been finalized. No cancellation or refund terms are stated here until formally approved.

21. Disclaimers & Limitations of Liability

ImpactEm and its services are provided "as is" without warranties of any kind. To the extent permitted by law, Sudden Impact Agency disclaims liability for indirect, incidental, or consequential damages.

22. Dispute Resolution & Governing Law

23. Changes to Services & Terms

We may update these Terms and our services as the connected application is integrated and as offerings evolve. Material changes will be reflected by updating the "Last Updated" date above. Continued use after changes indicates acceptance of the updated Terms.
